By submitting photos and/or videos to One Lambda, Inc., you accept the following terms:
Acknowledgement of Terms
In consideration of the publicity I may enjoy along with such other consideration, the receipt and sufficiency of which is acknowledged, hereby agree and consent to the following terms and conditions:
SECTION 1. GRANT: I grant to One Lambda, Inc. and its affiliates (collectively, “Thermo Fisher”) the right to: (i) use photographs that may include my likeness (the “Photographs”); (ii) to obtain, record and/or publish presentations or other statements and information from me (the “Presentation”); and (iii) to copy, modify, edit, distribute, publish, display, exhibit and otherwise use, in whole or in part, the Photographs and/or Presentation for commercial and business purposes in written or electronic form for internal or public distribution (“Publications”), subject to the provisions of Section 8 below.
SECTION 2. RIGHT TO PUBLISH: Thermo Fisher may publish, disseminate and otherwise distribute any number of copies of the Publications in its sole discretion. Further, I understand and agree that Thermo Fisher may decide, in its sole discretion, not to use some or all of the Photographs and/or Presentation in the Publications.
SECTION 3. IDENTIFYING INFORMATION: I understand and agree the Photographs and Publication may or may not contain attributions or information identifying me by name, job title and/or employer, but shall not include any further personal information.
SECTION 4. WAIVER OF RIGHT TO INSPECT: I hereby waive any right to inspect or approve of any Publication of the Photographs and/or Presentation.
SECTION 5. RELEASE AND DISCHARGE: Except for breach of Thermo Fisher’s representation and warranty in accordance with Section 8 below, I hereby release and discharge Thermo Fisher, its employees, officers, directors and agents from any and all claims I might have in connection with Thermo Fisher’s use, display, dissemination or exploitation of the Photographs and/or Presentation including, without limitation, any claim for defamation or for violation of moral or artist rights or right of privacy or publicity.
SECTION 6. CONSIDERATION: I acknowledge and understand that I will receive no compensation from Thermo Fisher beyond any goodwill and publicity that I may receive relating to publication and distribution of the Publications.
SECTION 7. OWNERSHIP: I acknowledge and agree that Thermo Fisher is the sole and exclusive owner of all rights, title and interest in and to all copyrights and any and all other intellectual property rights worldwide in connection with the Publications. I hereby assign any and all rights, title and interest I may own in and to the Publications to Thermo Fisher. I shall take no action to challenge or otherwise object to the validity of such rights or to Thermo Fisher’s ownership of registration of such rights and shall assist Thermo Fisher as needed, at Thermo Fisher’s expense, to register, record or otherwise perfect its ownership rights.
SECTION 8. THERMO FISHER WARRANTY: Thermo Fisher represents and warrants that any edits, modifications, changes or alterations to the Photographs and/or Presentation shall not significantly alter or materially misrepresent the original content.
SECTION 9. INDIVIDUAL WARRANTY: I represent and warrant that I: (i) am eighteen (18) years of age or older; (ii) have the full right and authority to enter into this agreement; and (iii) have read and understood the contents of this agreement.
