HOW TO ENTER: To enter the Cell Health Essay Contest (the “Contest”) go online to and submit the completed entry form, including an essay of 500 words or less that details how the participant’s lab ensures that the cells they work with are healthy and why this is important for their work or research. Only completed forms will be considered for this Contest. All essay submissions must be in text format, consist of no more than 500 words, and must be in the English language. Essays will be scored based upon completeness, accuracy, focus on cell health, originality, and creativity.

ELIGIBILITY: Participation is open only to life science students and professionals who are employees of nonprofit institutions and are 21 years or older in the US and Canada (excluding Quebec) who submit a completed entry form and an essay. One First Prize Winner, one Second Prize Winner, one Third Prize Winner, and one Fourth Prize Winner will be selected based upon the points awarded for each essay by a panel of five judges. The First Prize Winner will win one EVOS® FLoid® Cell Imaging Station. The Second Prize Winner will win one EVOS® XL Core Cell Imaging System. The Third Prize Winner will win one Tali® Image-Based Cytometer. The Fourth Prize Winner will win one Countess® Automated Cell Counter. Only one winner per laboratory will be selected. One entry per person. Healthcare Professionals may not participate in this promotion. The term Healthcare Professionals includes individuals (clinical or non-clinical physicians, physician assistants, nurses, technicians, research coordinators, administrators and purchasing personnel) and entities (including hospitals, rehabilitation centers, nursing facilities, home health agencies, clinics and group purchasing organizations, managed care organizations, physician group practices, medical directors for health insurance organizations) and their employees and representatives who are involved in the actual provision of health care services. Void where prohibited, licensed, or restricted by federal, state, provincial, or local laws, regulations, or agency/institutional policy. Determination of eligibility is at Sponsor’s sole discretion.

DURATION: The Contest begins October 21, 2013 at 9:00 a.m. US Eastern Time. Contest submissions must be received by Sponsor no later than November 22, 2013 at 5:00 p.m. US Eastern Time in order to be included in the Contest.

SELECTION OF WINNERS: The essays will be judged by a panel of five qualified judges comprised of Life Technologies employees with backgrounds in cell culture and imaging. The four essays scoring the most points by the judges (each a “Winner”) will be selected on approximately December 6, 2013 from all eligible entries received. Each Winner will be notified by email within approximately 14 days thereafter. If a winner is unreachable or does not make direct contact with the Sponsor by the date specified in the notification, or fails to accept the prize, the prize will be forfeited in its entirety and the submission that garnered the next highest number of points will be selected as a winner. The Winner must execute and return an affidavit of eligibility and a liability release within 14 days of the date of notification. If the Winner fails to do so, the prize will be forfeited in its entirety and an alternate winner will be selected from the remaining eligible entries. The Winner must warrant that she or he is not a Healthcare Professional, nor prohibited by employment, contract, or law from entering the Contest or accepting a prize from the Sponsor.

PRIZE: Each Winner will receive a Life Technologies bench top instrument, as follows. The First Prize Winner will receive one EVOS® FLoid® Cell Imaging Station (retail value approximately $18,500 USD). The Second Prize Winner will receive one EVOS® XL Core Cell Imaging System (retail value approximately $4,900 USD). The Third Prize Winner will receive one Tali® Image-Based Cytometer (retail value approximately $14,780 USD). The Fourth Prize Winner will receive one Countess® Automated Cell Counter (retail value approximately $3,750 USD).

No cash or other substitutions are permitted, except by the Sponsor, which reserves the right to substitute the prize with one of equal or greater value. No refunds or credits are allowed. The prize is not transferable. All taxes on the prize and reporting thereof are the sole responsibility of the Winner. A winner has the option to designate an organization that falls within Section 501(c)(3) or 501(a) of the United States ("US") Internal Revenue Code (or its equivalent in foreign jurisdiction, if the designee is outside the US) to receive the prize. Life Technologies will donate the prize to such designee.

Life Technologies will award the Winners or their designee with the prize. Any designee outside the US must be approved by Life Technologies to be eligible to receive the prize. Any transfer, gift, or export of the prize to any designee outside the US must not violate any of the US laws or the laws of any other jurisdiction, or to any denied or prohibited person, entity, or embargoed country in violation of such laws. Furthermore, if Life Technologies is unable to transfer or export the prize to such designee outside the US, the Winner will be responsible for arranging the export or transfer of the prize to such designee outside the US. If the designee is not able to accept the donation, the Winner will designate another qualified organization. Similar process of substitution will apply if the new designee is unable to accept the donation until a designated organization is able to accept the prize in compliance with these Terms and Conditions.

The Winner and, in case the Winner designates a qualified organization as set forth above, such designee, each must warrant that it is not prohibited by employment, contract, law or otherwise, including the policies and practices of their employer or organization, from entering or accepting the prize from Life Technologies. The Winner and the designee, if any, each must execute and return an affidavit of eligibility and release of liability, and a publicity release, and in case of such designated organization, a signed Life Technologies deed and acceptance of donation, within ten (10) days of the date of prize notification as a condition to receiving the prize.

By entering the Contest, each participant unconditionally accepts and agrees to comply with and abide by these rules and the decisions of the Sponsor, which shall be final and binding in all respects.

PUBLICITY: Sponsor will publish the name of the Winners. The Winners consent to the use by Sponsor of Winner’s name and image in Sponsor’s press releases, announcements, or other marketing literature.

INDEMNITY; DISCLAIMERS: To the full extent allowed by law, participants and each Winner release, indemnify and hold harmless the Sponsor and its affiliates, directors, officers and employees from all liability for any damages, injury or losses to any person (including death and bodily injury) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of the prize or participation in any promotion-related activity or participation in this promotion. The Sponsor has not made any warranty, representation, or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. IN NO EVENT SHALL THE SPONSOR BE LIABLE, WHETHER IN CONTRACT, TORT, WARRANTY, OR UNDER ANY STATUTE OR ON ANY OTHER BASIS FOR SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, MULTIPLE OR CONSEQUENTIAL DAMAGES SUSTAINED BY ANY WINNER OR ANY OTHER PERSON OR ENTITY ARISING OUT OF THE SPONSOR'S PERFORMANCE OR FAILURE TO PERFORM ITS OBLIGATIONS RELATING TO THE AWARD OF THE PRIZE OR PERFORMANCE OF SERVICES, THE POSSESSION OR USE OF ANY PRODUCT, OR THE PERFORMANCE BY THE SPONSOR OF ANY SERVICES, WHETHER OR NOT FORESEEABLE AND WHETHER OR NOT THE SPONSOR IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES ARISING FROM OR RELATED TO LOSS OF USE, LOSS OF DATA, DOWNTIME, OR FOR LOSS OF REVENUE, PROFITS, GOODWILL, OR BUSINESS OR OTHER FINANCIAL LOSS.
